1. Parties and Agreement
These Terms & Conditions ("Terms") govern your use of the Sky Luxury Travel Agent Portal ("Portal") and constitute a binding agreement between Sky Luxury Travel Limited (company number 12345678, registered in England and Wales, "SLT", "we", "us") and the travel agency or individual agent ("Agent", "you") granted access to the Portal.
By accessing the Portal you confirm that you have read, understood, and agree to be bound by these Terms and any Agency Agreement in place between your agency and SLT. If you do not agree, you must not use the Portal.
2. Access and Account Security
- Access to the Portal is granted solely to authorised personnel of the Agent as specified in your Agency Agreement with SLT.
- You are responsible for maintaining the confidentiality of your login credentials. You must not share your credentials with any third party.
- You must immediately notify SLT at support@skyluxurytravel.com if you suspect any unauthorised access to your account.
- SLT reserves the right to suspend or terminate Portal access at any time, with or without notice, where we believe a security risk exists or these Terms have been breached.
- Each user account is personal. You must not allow another person to use your credentials even within the same agency — each user must have their own account.
3. Permitted Use
The Portal may be used solely for the purpose of:
- Searching and booking flights and hotels on behalf of your end customers using fares and rates provided by SLT.
- Creating and managing quotes and customer-facing invoices.
- Viewing your agency's booking history, credit account, and financial statements.
- Managing your agency's brand profile and team user access.
You must not use the Portal for any unlawful purpose, to transmit any harmful or fraudulent content, to attempt to gain unauthorised access to any system, or in any manner that could damage, disable, or impair the Portal.
4. Pricing, Commissions and Mark-ups
- Prices displayed in the Portal are the net agent price — the amount your agency owes to SLT. These prices are confidential and must not be disclosed to your end customers.
- You are free to apply any mark-up above the agent price when setting your customer sell price. SLT is not a party to the commercial relationship between you and your customer.
- Prices are subject to availability and may change between search and booking confirmation. The confirmed price is fixed only upon a successful booking confirmation from SLT.
- All amounts are in Great British Pounds (GBP) unless otherwise stated. Currency exchange is your agency's responsibility.
5. Payment and Credit
- Payment terms are as specified in your Agency Agreement. The default payment terms are net 30 days from invoice date.
- Where a credit account is in operation, bookings that cause your exposure to exceed your credit limit may be declined or require pre-payment.
- Outstanding balances not settled by the due date may result in suspension of Portal access and/or credit facility.
- SLT reserves the right to recover any overdue amounts including reasonable collection costs and statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
6. Cancellations and Refunds
Cancellation and refund policies are determined by the underlying supplier (airline, hotel, or ground operator). These are displayed at the point of booking. SLT's service fee, where applicable, is non-refundable. You are responsible for communicating cancellation policies to your end customers.
7. Intellectual Property
All content, software, and materials available through the Portal — including but not limited to logos, data, and design — are the intellectual property of SLT or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Portal solely for the purposes described in clause 3. No other rights are granted.
8. Liability
- SLT acts as agent between the Agent and the underlying supplier. SLT's liability is limited to the amount paid by the Agent for the specific booking giving rise to the claim.
- SLT shall not be liable for any indirect, consequential, special, or punitive damages, including loss of profits or loss of business opportunity.
- Nothing in these Terms limits SLT's liability for death or personal injury caused by our negligence, or for fraudulent misrepresentation.
9. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Changes to These Terms
SLT may update these Terms from time to time. We will notify you of material changes via email or an in-portal notice. Your continued use of the Portal after the effective date of any change constitutes your acceptance of the updated Terms.
